MediaPilot Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MediaPilot platform, services, and website (collectively, the "Service"), provided by MediaPilot, a brand of Clockwork Digital GmbH, located in Switzerland ("MediaPilot," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Overview
MediaPilot provides AI-powered tools for generating, optimizing, and scheduling content—initially for LinkedIn and in the future for additional platforms such as Instagram, Facebook, and YouTube. Our Service allows users to input text, media, and other materials ("User Content") to generate personalized social media posts. MediaPilot does not guarantee the success or performance of any generated content.
2. Eligibility & Account
You must be at least 18 years old and legally capable of entering into binding contracts. You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and current information and to update it as necessary.
3. Subscription Plans & Billing
3.1 Plans & Features
MediaPilot offers multiple subscription tiers (Starter, Growth, Scale), each with distinct usage limits and features. Full details are available on our pricing page.
3.2 Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis. Annual plans include a discount equivalent to two free months. By subscribing, you authorize us to charge your payment method on a recurring basis.
3.3 Free Trial
New users are eligible for a 7-day free trial. Unless canceled within this period, your subscription will automatically convert to a paid plan at the selected tier and billing frequency.
3.4 Cancellation & Refunds
You may cancel at any time via your dashboard or by contacting support. Cancellations take effect at the end of the current billing cycle. We do not offer refunds for partial billing periods, unused features, or downgrades.
3.5 Price Changes
MediaPilot reserves the right to modify pricing at any time. Users will be notified at least 30 days in advance. Continued use of the Service after such notice constitutes agreement to the new pricing.
4. User Content & Rights
You retain all rights to your inputs. By submitting User Content, you grant MediaPilot a non-exclusive, worldwide, royalty-free license to use, process, and analyze such content solely for the purpose of providing and improving the Service.
You are solely responsible for the legality, reliability, and appropriateness of your User Content. MediaPilot disclaims any liability arising from the content you generate, publish, or distribute via our platform.
5. Generated Content
MediaPilot uses artificial intelligence to produce content based on your inputs and prior engagement history. While we strive for accuracy and quality, we do not guarantee that the generated content will be correct, compliant with applicable laws, or suitable for your intended use.
You are solely responsible for reviewing, editing, and approving any content prior to publishing. MediaPilot is not liable for any consequences arising from the use or distribution of generated content.
6. Use Restrictions
You agree not to:
- Use the Service for unlawful, defamatory, or fraudulent purposes
- Reverse-engineer, disassemble, or decompile the Service
- Resell, sublicense, or reproduce the Service or its outputs
- Violate LinkedIn's or any third-party platform's terms of service
- Post or share illegal, harmful, or offensive content
- Engage in fraudulent, deceptive, or malicious activities
- Use the platform for spam or unsolicited messages
- Infringe on the intellectual property rights of others
MediaPilot reserves the right to suspend or terminate accounts that violate these guidelines.
7. Intellectual Property
All content on the platform, including text, graphics, software, and trademarks, is owned by MediaPilot or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.
All intellectual property rights in and to the Service, excluding User Content, are owned by MediaPilot or its licensors. These Terms do not grant you any right, title, or interest in the Service or its content other than the limited rights expressly granted herein.
8. Platform Integrations & API Access
By connecting your social media accounts (e.g., LinkedIn, Facebook, Instagram) to MediaPilot, you explicitly authorize us to access, analyze, and post content on your behalf, in accordance with the permissions you grant via the respective platform's OAuth or authorization interface.
You remain solely responsible for the content and its compliance with applicable laws and platform policies. You may revoke access at any time via your social media platform settings. MediaPilot disclaims any liability for third-party API changes, outages, or revocation of access.
9. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. MediaPilot makes no warranties or representations, express or implied, regarding the Service, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content generated will be accurate, complete, or effective.
10. Limitation of Liability
To the maximum extent permitted by law, MediaPilot shall not be liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, data, or use, arising from or related to your use of the Service.
In no event shall our total liability exceed the amount paid by you to MediaPilot in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless MediaPilot and its affiliates, officers, directors, and employees from any claims, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.
12. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated via email or platform notification. Continued use of the Service constitutes acceptance of the updated Terms.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of Switzerland. Any disputes will be resolved exclusively in the courts of Bern, Switzerland.

15. Entire Agreement
These Terms constitute the entire agreement between you and MediaPilot concerning your use of the Service, superseding any prior agreements.
16. Severability & Waiver
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any provision shall not constitute a waiver.
